Legal Disclaimer for Verite Investigations LLC – Background Check/ Investigation Service

By engaging Verite Investigations LLC ("Company") for background check/investigation services, you, the client, hereby acknowledge and agree to the following terms and conditions:

1.      Scope of Service

Verite Investigations LLC offers background check/investigation services utilizing public, proprietary, and Open-Source Intelligence (OSINT) data. The Company does not guarantee that any specific or negative information about the subject of the investigation will be found.

2.      Payment for Service

The Company shall complete the work as applicable to the information available in the scope of services. The work will be executed once payment for the service has been sent to the Company by the client. The fee for the service will be communicated; upon completion of the work, further revisions, additional follow-up, new findings, or other inquiries may be subject to an additional fee in which case the client will be notified.

3.      No Guarantee and No Refunds

The Company does not guarantee that any adverse or relevant information will be uncovered through the background investigation. The Company will not issue refunds or discounts; all fees paid for the background investigation service are non-refundable.

4.      Accuracy and Timeliness of Data

The background investigation is based on public, proprietary, and OSINT data, which is subject to change. The Company is not liable for any incorrect, outdated, or incomplete information which has been collected by the Company or third parties.

5.      Client Representation

By requesting and engaging the services of the Company, the client affirms that they are truthful in communicating their identity and the identity of the individual(s) being investigated. The client further affirms that they are not legally restricted, prohibited, or otherwise barred by law or a form of contact from requesting a background investigation in their jurisdiction or the jurisdiction applicable to the investigation. It is the responsibility of the client to ensure that the request complies with all local, state, and federal laws.

6.      Use of Information

The client agrees that any information obtained through the background investigation service will be used solely for lawful purposes and will not be misused, falsified, disclosed, or divulged which could result in violation of applicable laws. The Company is not liable for any harm, loss, damage, or liability arising from the misuse, falsification, or unauthorized dissemination of information obtained through the service.

7.      Limitation of Liability

The Company shall not be liable for any past, present, or future harm, loss, damage, or legal consequences arising from the use or misuse of the background investigation report, or from any inaccuracies or omissions in the information provided due to the nature of the data being collected. The client agrees to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, damages, losses, or liabilities arising from the use of the investigation service or any information obtained through it.

8.      Jurisdiction and Governing Law

This disclaimer is governed by the laws of the state in which the Company operates in addition to the laws governed by the venue of the client. Any disputes arising from the background investigation service shall be resolved in accordance with the applicable laws of the state where the Company is incorporated, unless otherwise agreed in writing, or ordered by the proper authority.

By proceeding with the background investigation service, the client acknowledges that they have read, understood, and agreed to the terms outlined in this legal disclaimer.

 

CONFIDENTIALITY AGREEMENT 

This Confidentiality Agreement (the "Agreement") is entered by and between Verite Investigations LLC ("Verite Investigations"), a private investigative company, and the undersigned client and/or third party (the "Client" or "Third Party").

1.  Confidentiality of Communications 

1.1 The Client and/or Third Party agrees to maintain the confidentiality of all communications with Verite Investigations LLC, including but not limited to communications via phone, email, text, or other written or verbal means, and agrees to take all reasonable precautions to ensure the confidentiality of such communications.

1.2 The Client and/or Third Party further agrees not to disclose, disseminate, or share any information discussed, provided, or otherwise communicated by Verite Investigations without the prior written consent of Verite Investigations LLC. This includes any proprietary information, investigative details, and findings, as well as any discussions related to Verite Investigations LLC's activities.

2.  Disclosure of Verite Investigations LLC 

2.1 The Client and/or Third Party agrees not to mention or disclose the name of Verite Investigations LLC or any of its affiliates, employees, contractors, or agents, nor shall they reference the involvement of Verite Investigations LLC in any matter, without the prior written consent of Verite Investigations LLC.

2.2 Any use of Verite Investigations LLC’s name or any reference to its services, personnel, or investigation work requires written permission from Verite Investigations LLC. The omission of Verite Investigations LLC must also have prior consent.

3.  Recording and Documentation 

3.1 The Client and/or Third Party acknowledges and agrees that Verite Investigations LLC does not consent to any audio or video recording of any conversations, meetings, or communications unless prior written consent is provided by Verite Investigations LLC.

4.  Liability and Indemnity 

4.1 The Client and/or Third Party agrees to indemnify and hold harmless Verite Investigations LLC, its employees, agents, contractors, and affiliates from any claims, damages, liabilities, or costs (including attorney fees) arising from the unauthorized use, dissemination, or disclosure of any information provided by Verite Investigations LLC.

4.2 Verite Investigations LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use, interpretation, or divulgence of any information communicated to or by the Client and/or Third Party.

5.  No Liability for Harm or Loss 

5.1 The Client and/or Third Party agrees that Verite Investigations LLC shall not be held liable for any harm, loss, or injury, whether direct or indirect, that may arise from the disclosure, misinterpretation, or unauthorized use of any information discussed or provided during the course of the investigative services.

6.  Term of Agreement 

6.1 This Agreement shall remain in effect for as long as the Client and/or Third Party has any ongoing relationship with Verite Investigations LLC, and shall survive the termination of any such relationship, whether the termination is by mutual agreement, expiration of contract, or any other means.

7.  Governing Law and Dispute Resolution 

7.1 This Agreement shall be governed by and construed in accordance with the laws of the state in which Verite Investigations LLC is located, along with the protections of any local, state, and federal laws.

7.2 Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration, conducted in Michigan.

8.  Entire Agreement 

8.1 This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior agreements, understandings, or representations, whether written or oral, related to confidentiality.

FAIR CREDIT REPORTING ACT (FCRA) DISCLAIMER

Verite Investigations is a licensed private investigation agency and is not a Consumer Reporting Agency as defined by the Fair Credit Reporting Act ("FCRA"), 15 U.S.C. § 1681 et seq.

The background checks, reports, records searches, and investigative services provided by Verite Investigations are intended solely for lawful, non-FCRA purposes.

Information obtained through Verite Investigations may NOT be used for:

• Employment screening or hiring decisions

• Employee retention, promotion, reassignment, or disciplinary actions

• Tenant screening or rental housing decisions

• Credit eligibility determinations

• Insurance underwriting decisions

• Educational admissions decisions

• Professional licensing decisions

• Any purpose regulated by the Fair Credit Reporting Act (FCRA)

By submitting a request for services, you certify and acknowledge that:

  1. You are requesting information for a lawful, non-FCRA purpose.

  2. You will not use any information obtained from Verite Investigations to make employment, tenant, credit, insurance, educational, professional licensing, or other FCRA-regulated decisions.

  3. You understand that Verite Investigations does not provide Consumer Reports or Investigative Consumer Reports as defined by the FCRA.

  4. You agree to indemnify and hold harmless Verite Investigations from any claims, damages, liabilities, or expenses arising from the misuse of information provided through its services.

  5. You understand that Verite Investigations reserves the right to refuse service for any request that may violate applicable laws or regulations.
